GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

1. General Information

These GTCS govern the commercial relationship between UPSTAYS and any person making a reservation via the website www.upstays.com.
2. Purpose and Scope
These GTCS apply exclusively to bookings made on the UPSTAYS website. Any reservation implies full and unconditional acceptance of these GTCS.
3. Reservation and Payment
Reservations are open only to natural persons aged 18 or over with legal capacity.
Bookings made on www.upstays.com are confirmed instantly after secure card payment (SSL / 3‑D Secure) or Apple Pay / Google Pay. Bank transfer may be accepted exceptionally; in that case the booking is confirmed only once the funds are received.
Pursuant to Article L221‑28 12° of the French Consumer Code, the 14‑day withdrawal right does not apply to accommodation services supplied on a specific date or period.
Payment schedule:
- 50 % deposit at booking
- Balance automatically charged 10 days before arrival. If unsuccessful, a payment link is sent; the balance must then be settled no later than 7 days before arrival.
Failure to pay the balance on time leads to automatic cancellation without refund of the deposit. If UPSTAYS exceptionally keeps the booking despite late payment, penalties apply: statutory interest + 5 pts from due date (Art. L441‑10 Commercial Code).

Contract confirmation: Upon payment the guest receives an e‑mail summarising stay dates, guests, total price and selected options. This e‑mail constitutes proof of contract and prevails over any prior information.
4. Prices and Mandatory Fees
Prices always include tourist tax plus all mandatory fees (management, cleaning, resort fee, city tax) and are displayed before payment.
5. Cancellation, Modification and Unavailability
Cancellation by the guest
- No‑show or early departure: no refund.
- Less than 7 days: no refund (100 %).
- 7–30 days: 50 % refund.
- More than 30 days: full refund.
Penalty – fraudulent cancellation or charge‑back
En cas d’annulation frauduleuse (usurpation d’identité, utilisation de carte bancaire volée) ou de contestation injustifiée du paiement (« charge‑back » non fondé), UPSTAYS se réserve le droit de facturer, à titre de clause pénale, une indemnité forfaitaire équivalente à 20 % of booking (min. €150).
Cancellation or unavailability by UPSTAYS
Equivalent or better accommodation first; otherwise full refund.
- During stay → re‑housing or pro‑rata refund; transfer costs covered.
- Liability limited to these remedies, save gross negligence or wilful misconduct.
- Lorsque l’impossibilité survient pendant le séjour, UPSTAYS proposera soit un relogement pour la durée restante, soit un remboursement au prorata des nuits non consommées. Les éventuels frais de transfert vers le nouveau logement sont pris en charge par UPSTAYS.
La responsabilité d’UPSTAYS se limite aux mesures ci‑dessus, sauf faute lourde ou dolosive.

Subject to availability and may incur fees and/or rate adjustment.
6. Security Deposit
Pre‑authorised on the card (or exceptionally paid by transfer/cash) and released within one month after departure, subject to damages.
Damage clause: UPSTAYS may retain the deposit up to repair costs.
If costs exceed the deposit, the guest pays the difference (invoices provided). Insurance claims are the guest’s responsibility.
Le locataire fera son affaire des démarches auprès de son propre assureur pour tout remboursement éventuel ; UPSTAYS n’est pas responsable des refus de prise en charge par l’assureur du propriétaire ou du locataire.
7. Check‑in and Check‑out
- Check‑in from 16:00
- Check‑out by 11:00
- Late check‑out without approval: 20 % of average nightly rate per hour started (min. €50) ., sans que cette clause puisse être interprétée comme une autorisation de prolonger le séjour.
- Illegal stay / holding over (> 2 h late, lock change, utility takeover): : tout maintien dans le logement au‑delà de 2 heures après l’heure maximale de départ, sans accord écrit d’UPSTAYS, constitue une occupation sans droit ni titre (« squat »). Tout changement de serrure ou souscription/modification unilatérale d’un contrat de fourniture d’énergie sans autorisation constitue une violation grave. UPSTAYS se réserve le droit d’engager immédiatement toute mesure d’expulsion et de facturer, à titre d’indemnité d’occupation, 200 % nightly rate per 24 h started + legal/locksmith fees.
- Maximum occupancy must not exceed the listing.
- Guest registration: IDs required; non‑residents complete French police form (Decree 75‑412).
- Keys: All keys left visible in the apartment on departure.
- Lost/unreturned keys: €80 each or actual locksmith cost if higher.
- Exit inspection: UPSTAYS inspects the same day; damages or missing items may be notified within 48 h and deducted from the deposit.
- Departure cleaning: Property must be left tidy (dishes washed, bins emptied, recycling sorted). Otherwise €40/hr (min. €40) extra cleaning..
Arrival options (key box, smart lock, in‑person, transfer) chosen in the pre‑arrival form; some free, others with surcharge. If the form is not completed, keys go to a key box and instructions are emailed on arrival day only after full payment. If tourist tax or any balance is unpaid by 19:00 on check‑in day, no instructions are sent and no compensation is due if access is impossible.
8. Guest Obligations

- In the event of Serious breach (sub‑let, repeated noise, squat, fraud) → immediate termination and penalties.
Costs for breaches charged according to actual expenses and/or nuisance.
9. UPSTAYS Obligations
UPSTAYS garantee:
- Listing accuracy
- Assistance 7/7 (09:00 AM–07:00PM)
- Prompt maintenance
- Professional liability insurance couvrant les dommages causés aux locataires et aux tiers dans le cadre de l’activité d’agence
- Owner states landlord insurance exists states avoir souscrit une assurance multirisque habitation ou PNO incluant sa responsabilité civile, couvrant les dommages pouvant affecter le logement ; UPSTAYS ne vérifie pas cette couverture et ne peut donc la garantir.

10. Limitation of Liability
UPSTAYS not liable for accidents, theft or guest property; guests should insure themselves.

11. Personal Data
Data processed for payment, customer follow‑up, direct marketing and retargeting in accordance with GDPR. UPSTAYS ensures security and confidentiality.
12. Disputes & Governing Law

13. Miscellaneous

Invalidity of a clause does not affect others.
UPSTAYS may amend these GTCS for future bookings (14‑day email notice).

14. Acceptance
Confirming the booking constitutes unconditional acceptance of these GTCS.
